1. acceptance of terms

By accessing or using the services provided by GoonsAI.com ("Company," "we," "us," or "our"), including our AI accelerator and generation software services, Telegram bots, and any related websites, applications, or services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Services.

We provide AI accelerators and generation software as a service. We do not offer AI editing software or distribute content.

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Services after such modifications constitutes your acceptance of the revised Terms.

3. description of services

3.1 service overview

GoonsAI.com provides shared GPU rental and artificial intelligence-based services that generate images and videos from text prompts ("text-to-image," "text-to-video") and images ("image-to-video"). These Services are accessible through our supported platforms, including Telegram bots, Discord bots, API access, and any additional interfaces we may offer (collectively, "Supported Platforms").

The Services constitute access to computing resources and generation software. Output quality, speed, and availability may vary based on system load, input quality, and other factors.

3.2 infrastructure

Our Services are powered by infrastructure providers located in Singapore, the United States, and the European Union that maintain SOC 2 Type II compliance. We reserve the right to change infrastructure providers at any time without notice, provided such providers meet equivalent security and compliance standards.

3.3 third-party platforms

The Services are delivered through third-party platforms including Telegram, Discord, and other messaging or API services ("Third-Party Platforms"). You acknowledge and agree that:

  • Third-Party Platforms are not under our control, and we are not responsible for their availability, functionality, terms of service, or privacy practices
  • Your use of Third-Party Platforms is subject to their respective terms of service and privacy policies, which you must independently accept and comply with
  • We are not responsible for any actions taken by Third-Party Platforms, including suspension or termination of your access to their services
  • Service interruptions caused by Third-Party Platforms do not constitute a breach of these Terms and are not grounds for refunds
  • We make no warranties or representations regarding Third-Party Platforms

When you leave our Services to access Third-Party Platforms, these Terms no longer govern your use of those platforms.

3.4 output delivery and storage

No Output Storage: We operate as a software and computing resource provider. Generated outputs (images and videos) are delivered directly to you through your chosen Supported Platform (e.g., as a Telegram message, Discord message, or API response). We do not store, host, or distribute generated outputs on our servers after delivery.

You acknowledge and agree that:

  • Once outputs are delivered to your Supported Platform, they are outside our control and become subject to that platform's terms and policies
  • We have no obligation to store, backup, retain, or re-deliver any generated outputs
  • We are not responsible for any loss, deletion, or unavailability of outputs after delivery
  • We maintain logs of Service usage (including prompts, reference images, and metadata) for security, compliance, and operational purposes, but do not retain the generated output files
  • You are solely responsible for saving, backing up, and managing any outputs you wish to retain

4. user accounts

4.1 eligibility

To use our Services, you must be at least 18 years of age or the age of majority in your jurisdiction, whichever is higher. By using our Services, you represent and warrant that you meet this age requirement.

4.2 account creation

To use certain features of our Services, you must register for an account through a Supported Platform (such as Telegram or Discord). You agree to provide accurate, current, and complete information during the registration process and to maintain and promptly update such information to keep it accurate, current, and complete.

4.3 account responsibility

You are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account. You shall monitor your account to restrict use by minors and accept full responsibility for any unauthorized use of the Services by minors through your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

4.4 account restrictions

You acknowledge and agree that:

  • You have no ownership or property interest in your account; all rights in and to your account are owned by GoonsAI.com
  • You shall not have more than one active account at any given time without our express written consent
  • You shall not create an account using false identity or information, or on behalf of someone other than yourself
  • You shall not create an account or use the Services if you have been previously terminated or banned by us
  • We reserve the right to remove or reclaim any usernames or account identifiers at any time and for any reason

If you provide any information that is untrue, inaccurate, incomplete, or not current, or if we have reasonable grounds to suspect such, we have the right to suspend or terminate your account and refuse any and all current or future use of the Services.

6. service level

6.1 service availability

We strive to provide 99% uptime for our Services. However, we do not guarantee uninterrupted service, and we reserve the right to temporarily suspend access for maintenance, upgrades, or operational reasons.

6.2 no guarantee on output quantity

We do not guarantee any specific number of generations within a subscription period. Generation capacity may be limited by system capacity, queue size, and fair usage policies.

6.3 limitations

Our uptime commitment excludes: scheduled maintenance (with notice), force majeure events, third-party service issues (including Telegram, Stripe, or infrastructure providers), and service suspension due to Terms violations.

6.4 remedies

In the event of extended outages exceeding our uptime commitment, we may, at our sole discretion, provide service credits. Service credits are the sole and exclusive remedy for service availability issues.

7. user content and conduct

7.1 user content

"User Content" refers to any text prompts, images, or other materials submitted by you through our Services.

7.2 license

By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content solely for providing and improving our Services.

7.3 prohibited content

You agree not to submit content or use the Services to generate content that:

  • Infringes intellectual property or other rights of any party
  • Violates any applicable law or regulation
  • Promotes illegal activities
  • Contains hateful, defamatory, discriminatory, harassing, threatening, or offensive content
  • Harms minors in any way, including any portrayal or depiction of minors in an inappropriate, lewd, or otherwise objectionable manner
  • Contains nudity or sexually explicit material
  • Depicts violence, gore, torture, or graphic harm
  • Contains or attempts to extract biometric data without proper authorization
  • Is deceptive, fraudulent, or invasive of another's privacy
  • Impersonates any person or entity, or misrepresents your affiliation
  • Contains malicious code or attempts to interfere with the Services
  • Advocates, encourages, or assists any third party in doing any of the foregoing

7.4 content monitoring

We reserve the right, but not the obligation, to monitor and review User Content. We may remove or refuse to process any content that violates these Terms.

7.5 absolute prohibitions

Zero Tolerance for Child Sexual Abuse Material (CSAM): We maintain an absolute zero-tolerance policy for child sexual abuse material in any form, including AI-generated content. You shall not use our Services to create, generate, upload, or distribute:

  • Any content depicting minors (individuals under 18 years of age) in sexual, nude, semi-nude, or sexually suggestive situations
  • AI-generated imagery that creates, modifies, or enhances content to sexualize minors
  • Content that uses reference images of minors for any generation purpose
  • Any attempt to use our Services to "age down" adults to appear as minors

Violations will result in immediate and permanent account termination, preservation of all associated data, and mandatory reporting to the National Center for Missing & Exploited Children (NCMEC) and relevant law enforcement authorities. This policy applies regardless of jurisdiction.

Non-Consensual Intimate Imagery (NCII) and Deepfakes: You shall not use our Services to create:

  • Non-consensual intimate imagery of any individual, whether real or appearing real
  • Deepfakes or synthetic media depicting identifiable individuals without their explicit consent
  • Content that digitally undresses, sexualizes, or places identifiable individuals in compromising scenarios
  • Any content intended to harass, defame, or deceive using AI-generated likenesses

Violations will result in immediate account termination and may be reported to law enforcement.

7.6 real person and likeness restrictions

When using image-to-video or any feature involving reference images of identifiable individuals, you represent and warrant that:

  • You have obtained explicit consent from any identifiable individual depicted
  • You have the legal right to use such likeness for AI generation purposes
  • The generated content will not be used to deceive, defraud, harass, or defame
  • You will not generate content depicting public figures in false, misleading, or defamatory scenarios

We reserve the right to refuse processing of content that appears to involve identifiable individuals without apparent consent.

7.7 content monitoring and disclosure

No Expectation of Privacy: You acknowledge and agree that you have no expectation of privacy concerning your use of the Services, including any User Content, text prompts, reference images, usage data, and metadata transmitted through or processed by the Services.

You acknowledge and consent to the following:

  • We may employ automated systems and manual review to monitor content submitted to and usage patterns of our Services
  • We may utilize detection technologies including hash-matching systems and prompt analysis to identify prohibited content or usage patterns
  • We maintain logs of Service usage, including prompts, reference images, timestamps, and computational resources consumed
  • Suspicious activity, usage logs, and associated data may be preserved and reported to authorities without prior notice to you
  • We may disclose your identity and account information to any third party who claims that content you submitted or generated violates their rights, including intellectual property rights, privacy rights, or publicity rights

Law Enforcement Disclosure: If we believe that criminal activity has occurred or may occur, we reserve the right to disclose any information or materials in our possession, including your User Content, usage logs, prompts, reference images, account information, and any other data associated with your use of the Services, to:

  • Comply with applicable laws, legal process, or governmental requests
  • Enforce these Terms
  • Respond to claims that content violates the rights of third parties
  • Protect the rights, property, or safety of GoonsAI.com, our users, or the public
  • Cooperate with law enforcement or other government officials as we believe necessary or appropriate

Such disclosure may occur without notice to you where permitted by law.

7.8 user acknowledgments

By using our Services, you acknowledge and agree that:

  • AI-generated content may be subject to criminal laws regarding CSAM, non-consensual intimate imagery, fraud, and defamation in various jurisdictions
  • Creating illegal content using our Services does not shield you from criminal prosecution
  • We bear no liability for content you create, and you will defend and indemnify us against any claims arising from your content
  • Your content and account data may be preserved and disclosed to law enforcement without notice where permitted by law
  • You are solely responsible for ensuring your use of the Services complies with all applicable laws in your jurisdiction

7.9 technical restrictions

You agree not to (and shall not permit any third party to):

  • License, sell, rent, lease, transfer, assign, reproduce, distribute, host, or otherwise commercially exploit the Services or any portion thereof without our express written consent
  • Frame or utilize framing techniques to enclose any trademark, logo, or other portion of the Services (including images, text, page layout, or forms)
  • Use any metatags or other "hidden text" using our name or trademarks
  • Modify, translate, adapt, merge, make derivative works of, disassemble, decompile, reverse compile, or reverse engineer any part of the Services, except to the extent expressly permitted by applicable law
  • Use any manual or automated software, devices, or processes (including spiders, robots, scrapers, crawlers, data-mining tools, or similar) to scrape, copy, or download data from the Services
  • Access the Services in order to build a competitive product or service, or copy any ideas, features, functions, or graphics of the Services
  • Remove, alter, or obscure any copyright, trademark, or other proprietary notices on the Services
  • Interfere with or attempt to interfere with the proper functioning of the Services, including by introducing viruses, worms, or other harmful code
  • Attempt to gain unauthorized access to any portion of the Services or any systems or networks connected to the Services
  • Use the Services to develop, train, or improve any artificial intelligence or machine learning models that compete with our Services

Any unauthorized use of the Services terminates the licenses granted pursuant to these Terms.

8. intellectual property

All content included in or made available through our Services, including text, graphics, logos, and software, is the property of GoonsAI.com or its licensors and is protected by intellectual property laws.

8.2 generated content

Videos and images generated by our Services are provided for your use. We do not claim ownership of generated content, but we may use input data to improve our Services as described in Section 7.2.

8.3 reservation of rights

All rights not expressly granted to you are reserved by us.

8.4 intellectual property claims procedure

Important Notice: GoonsAI.com operates as a software and computing resource provider. We do not store, host, or distribute user-generated outputs. Generated content is delivered directly to users through Third-Party Platforms (such as Telegram or Discord) and is not retained on our servers. As such, we cannot remove or take down generated content that has already been delivered to users.

For intellectual property concerns related to our website (goonsai.com) or any content we directly publish, it is our policy to respond to notices of alleged infringement. If you believe that your copyrighted work or other intellectual property has been infringed by content on our website, please provide our designated agent with the following information:

  • An electronic or physical signature of the person authorized to act on behalf of the intellectual property owner
  • A description of the copyrighted work or other intellectual property that you claim has been infringed
  • A description of the location on our website where the allegedly infringing material is located

It is our policy to terminate the accounts of users who repeatedly infringe or are repeatedly alleged to infringe the intellectual property rights of others.

8.6 feedback

If you provide us with any ideas, suggestions, documents, or proposals ("Feedback"), you agree that such submission is at your own risk and that we have no obligations (including confidentiality obligations) with respect to such Feedback. You agree that we may use your Feedback without any restriction, attribution, or compensation to you.

9. disclaimers and limitations of liability

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.

9.2 limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, GOONSAI.COM SHALL NOT BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICES, INCLUDING BUT NOT LIMITED TO: (I) THE USE OR INABILITY TO USE THE SERVICES; (II) ANY CONTENT OR OUTPUTS GENERATED THROUGH THE SERVICES; (III) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA; (IV) STATEMENTS OR CONDUCT OF ANY THIRD PARTY; OR (V) ANY OTHER MATTER RELATED TO THE SERVICES.

9.3 limitation of damages

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICES DURING THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR SGD $100, WHICHEVER IS GREATER.

9.4 ai-generated content disclaimer

Our Services utilize artificial intelligence technology. By using our Services, you acknowledge that:

  • AI-generated results are inherently variable and may not meet your expectations
  • Generated content quality cannot be guaranteed
  • Results vary based on inputs and other factors
  • We make no representations about the appropriateness, accuracy, legality, or fitness of generated content
  • You are solely responsible for your use, distribution, or reliance on generated outputs, including compliance with applicable laws and third-party rights

Dissatisfaction with AI output quality is not a valid basis for refunds or disputes.

9.5 third-party conduct

You are solely responsible for all of your communications and interactions with third parties, including other users of the Services. We are not liable for the conduct of any third party, including Third-Party Platforms (such as Telegram or Discord), other users, or any external services. The risk of injury from third parties rests entirely with you.

9.6 downloads and content access

Any content downloaded from or otherwise accessed through the Services, including generated outputs delivered to your Supported Platform, is accessed at your own risk. You are solely responsible for any damage to your devices or any loss of data that results from accessing such content.

10. indemnification

You agree to indemnify, defend, and hold harmless GoonsAI.com, its affiliates, officers, directors, employees, agents, partners, suppliers, and licensors from any and all losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your User Content and any Outputs generated through your use of the Services
  • Your misuse of the Services
  • Your violation of these Terms
  • Your violation of any rights of another party, including intellectual property rights, privacy rights, or publicity rights
  • Your violation of any applicable laws, rules, or regulations, including export control laws, sanctions, and data protection laws
  • Any dispute between you and a third party relating to your use of the Services or content you generate
  • Any claim arising from content you create, regardless of whether you intended to violate any law

Without limiting the foregoing, you specifically agree to indemnify and hold us harmless from any liability arising from:

  • The creation, possession, or distribution of CSAM or any content depicting minors inappropriately
  • The creation or distribution of non-consensual intimate imagery or deepfakes
  • Defamation, libel, or invasion of privacy claims resulting from your content or generated outputs
  • Any civil or criminal liability arising from content you create using our Services

We reserve the right, at our own cost, to assume the exclusive defense and control of any matter subject to indemnification by you, in which event you will fully cooperate with us. This indemnification obligation survives termination of your account and these Terms.

11. termination

11.1 termination by us

We may terminate or suspend your access to the Services immediately, without prior notice, for any reason, including breach of these Terms. In the event we terminate without cause, we may refund any pre-paid portion of unused subscription time at our discretion.

11.2 termination by you

You may terminate by canceling your subscription and discontinuing use of the Services.

11.3 effect of termination

Upon termination, your right to use the Services ceases immediately. Any unused credits are forfeited. Fees paid are non-refundable except as expressly provided in Section 5.7. We may delete any data associated with your account from our active databases. All provisions of these Terms which by their nature should survive termination will survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

11.4 no subsequent registration

If your account is terminated by us for cause, including violation of these Terms, or if your access to the Services is discontinued due to inappropriate conduct, you agree that you shall not attempt to re-register with or access the Services through use of a different account, username, identity, or any other means. We reserve the right to terminate any subsequent accounts created in violation of this provision without notice or refund.

12. governing law and dispute resolution

These Terms shall be governed by the laws of Singapore, without regard to conflict of law provisions.

12.2 dispute resolution

Any dispute arising from these Terms or the Services shall be resolved by binding arbitration in Singapore in accordance with the Arbitration Rules of the Singapore International Arbitration Centre ("SIAC Rules"). The arbitration shall be conducted in English by a single arbitrator.

All proceedings will be conducted solely on an individual basis. Neither party will seek to have any dispute heard as a class action or in any proceeding where either party acts in a representative capacity.

13.1 entire agreement

These Terms constitute the entire agreement between you and GoonsAI.com regarding the Services.

13.2 waiver

Failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

13.3 severability

If any provision is held invalid or unenforceable, such provision shall be modified to the minimum extent necessary, and the remaining provisions shall remain in effect.

13.4 assignment

You may not assign these Terms without our written consent. We may assign these Terms without restriction.

13.5 force majeure

We are not liable for delays or failures resulting from causes outside our reasonable control, including acts of God, war, terrorism, infrastructure failures, or shortages of resources.

13.6 export control

The Services may be subject to export control and sanctions laws of Singapore, the United States, and other jurisdictions. You shall not use, access, or re-export the Services except as authorized by applicable law. You represent and warrant that:

  • You are not located in any country subject to comprehensive sanctions by Singapore, the United States, United Nations, or European Union
  • You are not listed on any government list of prohibited or restricted parties, including the U.S. Treasury Department's Specially Designated Nationals List or the U.S. Commerce Department's Entity List
  • You will not use the Services to transfer data or technology to any prohibited party or for any prohibited end-use
  • You will comply with all applicable export control laws and regulations in your jurisdiction

Violation of export control laws may result in immediate termination of your account and disclosure to relevant authorities.

13.7 electronic communications

By using our Services, you consent to receive communications from us electronically, including via email, Supported Platforms (such as Telegram or Discord), or notices posted on our website. You agree that all agreements, notices, disclosures, and other communications that we provide electronically satisfy any legal requirement that such communications be in writing.

You are responsible for providing us with a current, valid email address or contact method. Notices to you may be sent via email to the address associated with your account or through your Supported Platform. Notice is deemed given upon transmission. 13.9 international users

The Services are controlled and operated from Singapore. We make no representation that the Services are appropriate or available for use in other locations. If you access or use the Services from outside Singapore, you do so at your own risk and are solely responsible for compliance with all applicable local laws, including export control and data protection laws. If any provision of these Terms conflicts with mandatory local laws, you must comply with such local laws, and such conflict shall not affect the enforceability of the remaining provisions.

13.10 exclusive venue

To the extent that any dispute is not subject to arbitration under Section 12.2, or if arbitration is found to be unenforceable, you agree that any such dispute shall be brought exclusively in the courts of Singapore, and you consent to the exclusive jurisdiction of such courts.
